1)- NAME OF THE SOCIETY
Name of the society shall be “VILLAGE DEVELOPMENT SOCIETY : MUSAPUR”.

Following categories of citizen of VILLAGE are eligible to be members of the Society:

to village : members of Current Panchayat, ex-Sarpanches, ex-Panches, Nambardars

been retired from Govt./Semi Govt. or any private body.
4.
Any person from any registered
communities for the village.
5.
Any person above the age
of 18 years who has been so recommended by (1 to 4) above

4)- GENERAL BODY
The General Body of the Society shall consist of all members of the Society whose names exist on the rolls fifteen days prior to the day on which Annual Report of the society is published. By General Secretary.

5) - ELECTION &
QUORUM
The election of the society should be one sided positive thoughts just for the development & welfare of the village without any politics/interference . The General Body in its meeting shall elect all the office bearers after Three years by show by hand as required. The Quorum of the General Body shall be 2/3rd members present. It is clear to mind that the junior members bringing up position in the rotation at every quorum as they willing.

1. By no confidence motion passed by 2/3rd majority of members present in the General Body Meeting.
2. On his/her written resignation provide a one-month has been served in writing by the member to the President.
3. On his/her death.
4. For any other violent, unsociable, unbecoming behavior etc.

7)- APPEALS
All the appeals should be referred to the Governing Body for its consideration. If the Governing Body so decides the appeals shall be placed for the consideration of the General Body. The decision of the Governing Body or of the General Body shall be final and shall be communicated to the member in writing.

8)- READMISSION
In case the General Body expels a member, the same can be re-admitted provided the concerned member fulfils the condition laid down in the Rules & Regulations.

9)- ANNUAL
/ EXTRA ORDINARY GENERAL MEETING
The General Body of the Society shall meet at least once in a year, at a meeting which would be called the Annual General Meeting at such a place and time as the Governing Body may decide, and as specified in the notice of the meeting to conduct, among others, the following business: -
1. To receive , approve and adopt the Annual Accounts, the Audit Report and Report of the Activities of the Society from the Governing Body.
2. To Appoint/renew appointment of Chartered Accountants as Statutory Auditor and fix remuneration.
3. To elect persons to fill vacancies of the Governing Body in place of such members of the Body whose terms are expiring by show of hands or by papers as required.
4. To approve and adopt Budget and expense plan out lays for next the Financial Year.
5. To consider any other matter that may be brought to the attention of the members in the notice of the meeting or by permission of the chairman of the meeting.
6. To fill the casual vacancies which have arisen due to death, resignation or incompetence of the members of the Governing Body.

10)- BANK ACCOUNT
(a) The fund of the Society may be kept in a Scheduled Bank. With a view to generate income for the Society, The surplus funds shall be invested by Management Committee or Governing body in the manner as deemed fit by it .The funds operated properly by the Account Department of the Society.
(b) The money shall be authorized to be withdrawn under the signature of at least five out of eight as the following withdrawal policy –

However, in some situations persons
from the Governing Body may also be authorized by the President to make
withdrawal in place of/with (1 & 2) from bank.

(c) The money shall be authorized to be withdrawn
under the signature on cheque at least
Three out of Five as the selected members by the Governing Body. (Due to Bank
procedures)

The income of the Society received from India and outside of India as may be all sources will be utilized only for the promotion of the aims and objectives of the Development of the Village, not for any specific body individually.

12) - MANAGEMENT
OF FUNDS
All the receipt of the Society funds may be deposited in the Bank and shall be utilized only for the development/welfare promotion of the projects/aims and objectives of the Society. Any amount will be paid by cheque . Account Book/Ledger prepared by accountant/ account helper or combine with account department. The utilized each bill certainly verified by governing body five out of nine and properly kept/safe in the paste file.

15)- DUTIES/RIGHTS & RESPONSIBLITIES OF
THE MEMBERS
Each and every Governing/General body members are servant of the Village .

Therefore the members of the Society has some
responsibility , each members :
1. Shall have one vote at every general meeting.
2. Shall be entitled to participate in the general meeting and gathering of the Society.
3. Shall have the right to inspect the books of accounts, minutes of proceedings of the General Body Meeting in any working day during working hours by giving reasonable notice.
4. Shall be bound by the rules and regulations and/or by laws which may be framed from time to time; and
5. Shall be administered the oath of the office and loyalty to the Society and/or its constitution by the President.

a). keep the minutes of any meeting of the
society ;
b). ensure
that all records, books, papers and other documents of the society are kept in
a safe place in the office of the society;
c). conduct
any correspondence on behalf of the society except in the case of a credit
union where the society may delegate such powers to other members of staff so
that they may carry out the duties of their jobs;
d.) attend
all meetings of the society and have with him the necessary minutes and record
books and correspondence relative to the business of the society;
e). issue
notices for all meetings of the general membership of the society in accordance
with the Regulations and the by-laws;
f). sign
and execute, jointly with the President, all deeds and conveyances of real
property, all fixed deposits or share certificates and such other documents as
the Society may specify;
g). review the minutes of all committees
of the society; and
h). perform
such other duties as are prescribed by the by-laws or authorized by the Board.
I) sign all cheques,
notes, bills of exchange and other documents necessary to effect the business
of the society;
j). keep
a just and true record of all financial transactions effected by the society in
the books provided for that purpose;
k). keep
charge and control of all cash, securities, books and other documents and
vouchers for all payments made and receipts issued on behalf of the society.
l). reconcile
or cause to be reconciled at least monthly all passbooks or statements received
from depositors with the relevant control accounts in the general ledger;
m) To do any other
things if authorized by the Governing Body from time to time.
n) To approve/sanction expenditures upto Rs.50,000/- (Rupees Fifty Thousand Only).

2. Joint Secretary/ Press Secretary of the society shall—
a. attending functions and duties in the absence
of General Secretary,

all monies received in the name of the society in such bank or depository as
specified by the society;

To call members for the Ordinary General Meeting if desired on written request
of at least 1/3rd members of the Governing Body.

a) To keep accounts of receipts and expenditure of the Society and furnish the necessary information to the Governing Body.

c). prepare the annual statement of
account, the balance sheet, the monthly financial statements and other
statements as the Board may request;
d) sign all cheques, notes, bills of exchange
and other documents necessary to effect the business of the society

society may delegate such powers to other members of staff so that they may
carry out the duties of their jobs;
4)- PROJECT MANAGER
a)- A construction
project manager sets up the estimates, the budgets and the construction
timetable for the client and develops the construction strategy against any
project which is under processing.
b)- He selects the
subcontractors and workers, and provides required explanations for the builders
and other professionals associated with the project, coordinating and
collaborating with the architects, engineers and specialists.
c)- The project
manager also ensures the construction project complies with all building/roads/streets
codes and any other legal or regulatory
requirements.
d)- When delays or
problems occur – as they always do – the project manager is the project’s first
responder, ready to make the changes after discussion with governing body according
to final decision he required to move the project past the issue.
5. LEGAL MANAGER
a). attending any court or police issues.
b. requiring discovery and
production of any documents ;
c. receiving evidence on
affidavits ;
d. requisitioning any public
record or copies thereof from any court or office ;
e. any other matter which
may be prescribed time to time ;
Provided that no such disciplinary committee shall have the right
to require the attendance of
a. any
presiding officer of a court except with the previous sanction of the High
Court to which court is subordinate ;
b. any
officer of a revenue court except with the previous sanction of the State
Government
16) - COMPENSATION AND
REMUNERATION :
There have no charges will be pay as salary The members of the Governing
Body / General Body shall be entitled to reimbursement of expenses incurred in
the performance of their duties. This is an honorary service, without any dues . Nothing
herein shall preclude a member of the Governing Body from serving the Society
in other capacity and receiving compensation remuneration, fees or honorarium
for such services. There will be give reward any member’s against his/her duty/responsibility
which they follow hardly at the village function
.
17)- FINANCIAL
AUDIT
The accounts of the Society shall be audited at least once in a year by a qualified firm of Chartered Accountant appointed by the Governing Body.
The financial year of the Society shall start from the 1st day of January and end on the 31st day of December in the following year.

18) - TENURE OF THE GOVERNING BODY
The tenure of the Governing Body shall be 03 years. But the Foundation tenure shall be 5 yrs.

19) - AMENDMENT
Any amendment in the Memorandum of Association and rules and regulation will be carried out in accordance with the section 12 & 12A of the Societies of Registration Act, 1860, as applicable to the National Capital Territory of Delhi.

21) - DISSOLUTION
The Society may be dissolved as per the provisions laid down under Section 13 & 14 of The Societies Registration Act, 1860 as applicable to the National Territory of Delhi. If upon dissolution of the Society there shall remain after the satisfaction of its debts and the liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the Society but shall be given over to organization with comparable purposes according to the decisions of the members or, in default thereof, according to the decision of a competent court.
